Jonathan T. Marston
Managing Partner
Managing Partner
Jon brings over 20 years of accounting, tax, valuation advisory and executive management experience to WilliamsMarston. Jon’s primary practice areas include mergers and acquisitions, technical accounting and process improvement. He has also served in various interim capacities at the CFO, Director of Corporate Development and Corporate Controller level. His clients include several large private equity firms, private equity-backed companies, and public companies with revenues ranging from $200M to $10B.
Prior to WilliamsMarston, Jon was a Director in PricewaterhouseCoopers LLP’s Transaction Services Advisory practice. While at PwC, Jon provided due diligence, technical accounting, and financial and strategic advice to clients in connection with mergers and acquisitions ranging from $5M to over $20B.
Throughout his career, Jon has advised SEC registrants, foreign public companies, private companies, private equity and VC firms. He has advised management and investors on issues pertaining to US GAAP, IFRS, SEC reporting, financial and operational performance, quality of earnings, revenue recognition, stock-based compensation, initial public offerings, and Sarbanes-Oxley compliance. Jon has significant experience with acquisitions, divestitures, carve-outs, purchase agreements and purchase price adjustment mechanisms. His broad industry experience includes software, technology, telecommunications, health industries, industrial products and consumer retail sectors in the US, Europe, Africa and Asia.
Jon holds a Bachelor of Science in Business Administration degree from Boston College with a concentration in Accounting.
Joseph McKneely

Joseph brings more than 20 years of valuation advisory experience to WilliamsMarston. His extensive valuation expertise includes financial reporting matters such as mergers and acquisitions, purchase price allocations, goodwill and intangible asset impairments, complex debt and equity instruments, tax reporting matters such as 409a and intangible asset valuations as well as litigation matters, solvency and fairness opinions. His broad industry experience includes technology, retail, biotechnology and pharmaceuticals.
Prior to WilliamsMarston, Joseph was a Partner at Bay Valuation Advisors LLC (“BVA”) for 7 years. While at BVA, Joseph advised numerous clients ranging from early-stage venture backed entities to Fortune 100 companies with their complex financial and tax reporting valuation matters. Prior to BVA, Joseph was a Senior Manager in Deloitte LLP’s Transactions & Business Analytics group. While at Deloitte, he served in various capacities including leading the valuation practice for Deloitte’s Technology Venture Center where he worked with numerous early-stage companies. Prior to Deloitte, Joseph provided litigation support at PricewaterhouseCoopers LLP where he assisted companies involved in patent infringement and purchase price disputes by developing complex economic lost profits models to estimate damages.
Joseph holds a Master of Science in Finance from Texas A&M University and a Bachelor of Business Administration degree in Accounting from Texas A&M University.
Marc Lamothe

Marc brings 27 years of partnership taxation experience to WilliamsMarston. He is a trusted adviser to many private equity, venture capital and fund of fund clients at various stages in their life cycle. Marc is focused primarily advising on complex partnership tax matters that are common to private equity and venture capital funds, their managers and their portfolio companies including tax structuring, mergers and acquisitions and tax compliance oversight for complex business structures. His industry experience includes private equity, venture capital, consumer products and services, professional services and real estate.
Prior to joining WilliamsMarston, Marc was a partner with 704beantown advisers, LLC, a consulting firm he co-founded focused on providing targeted tax advisory services to clients in the private equity and venture capital space. Prior to launching 704beantown, Marc was a partner with RSM US LLP where he led their Boston Partnership Tax practice for many years. Marc spent the first eight years of his career in public accounting with Andersen and Deloitte.
Marc is a licensed Certified Public Accountant in the Commonwealth of Massachusetts and holds a Bachelor of Science in Business Administration from Bryant University.
